Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Argos Operating System (“Argos OS”), the website at argos-os.com, and related services (collectively, the “Service”) provided by Intelligent Automation, LLC (“Intelligent Automation,” “we,” “us,” or “our”). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Service, or by signing an order form or statement of work that references these Terms, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Definitions

  • “Customer,” “you,” or “your” means the organization or individual that accesses the Service.
  • “Customer Data” means data you or your authorized users submit to or generate within the Service.
  • “Order” means an order form, statement of work, or written subscription that references these Terms.

3. The Service & Accounts

Subject to these Terms and any applicable Order, we grant you a non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You are responsible for maintaining the confidentiality of account credentials, for all activity under your account, and for ensuring your authorized users comply with these Terms.

4. Acceptable Use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. We may suspend access for violations as described below.

5. Customer Data & Ownership

You own your data; we own the platform. As between the parties, you retain all right, title, and interest in and to Customer Data. You grant us a limited license to host, process, and use Customer Data solely to provide and support the Service. We retain all right, title, and interest in the Service, including the Argos OS platform, software, and all related intellectual property.

6. Fees & Billing

Where the Service is provided for a fee, pricing, billing frequency, and payment terms are set out in the applicable Order or statement of work. Unless otherwise stated, fees are exclusive of taxes, are non-refundable except as required by law, and are due as quoted. Late amounts may accrue interest and may result in suspension.

7. Third-Party Services & Integrations

The Service may integrate with third-party products and services (for example, Microsoft 365, Sophos, and similar providers). Such integrations are provided on an “as available” basis, are governed by the applicable third party’s terms, and are outside our control. We are not responsible for third-party services or for any changes to or discontinuation of them.

8. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and documentation, is owned by Intelligent Automation or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted, no rights are transferred to you. “Argos OS” and related marks are trademarks of Intelligent Automation.

9. Confidentiality

Each party may receive confidential information of the other. The receiving party will protect such information using at least reasonable care, will use it only to perform under these Terms, and will not disclose it except to personnel and contractors with a need to know who are bound by confidentiality obligations, or as required by law.

10. Warranties & Disclaimers

EXCEPT AS EXPRESSLY STATED IN A SIGNED ORDER, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE. EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Intelligent Automation and its affiliates, officers, and employees from and against any third-party claims, damages, and reasonable expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

13. Term & Termination

These Terms remain in effect while you use the Service or until terminated. Either party may terminate for material breach that remains uncured 30 days after written notice. Upon termination, your right to use the Service ceases, and we will make Customer Data available for export for a limited period before deletion in the ordinary course, subject to legal retention obligations.

14. Suspension

We may suspend access immediately if we reasonably believe your use poses a security risk, violates the Acceptable Use Policy or law, or may harm the Service or other users. We will restore access once the issue is resolved where practicable.

15. AI Features Disclaimer

The Service may include artificial-intelligence features, including an AI gateway and assistants. AI output may be inaccurate, incomplete, or out of date and must be reviewed by a qualified human before reliance. AI output does not constitute professional, legal, medical, financial, or other advice, and you are solely responsible for decisions made using it.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by contacting [email protected]. If a dispute is not resolved within 30 days, it will be resolved by binding arbitration administered in New Jersey, except that either party may bring claims in the state or federal courts located in New Jersey for injunctive relief or to protect intellectual property. You and we consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may modify these Terms from time to time. We will update the “Last updated” date and, for material changes, provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance.

18. Entire Agreement

These Terms, together with any applicable Order, statement of work, and policies incorporated by reference, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in effect.
